The Off Campus Partners Online Community (the “Community”) is made available by Off Campus Partners, LLC (“OCP”, “we”, “us” or “our”) in order to allow our partners and registered users to share information, materials, documents, opinions, content and other resources (collectively, the “Content”) related to off-campus campus living and the use of OCP’s other products and services.
Your experience within the Community is very important to us. We intend for the Community to be a civil place where everyone feels welcome and heard. If you wish to participate in the Community, you must abide by these OCP User Community Terms of Use (the “Terms of Use”). We reserve the right to suspend or terminate membership in this Community for anyone who violates these Terms of Use, or for any other reason in OCP’s discretion.
OCP may change these Terms of Use at any time, and you are responsible for regularly reviewing these Terms of Use to determine whether any changes have been made since your last visit. Your continued use or access of the Community after OCP has changed these Terms of Use constitutes your agreement to these Terms of Use as amended.
By accessing or using this Community, and in consideration of your access to and use of the Community, you agree to comply with the following terms and conditions:

TREAT OTHERS WITH RESPECT
Be open and willing to engage in Community discussions. Ask questions and also be generous in answering the questions of others. The Community is not a space to treat others rudely, and any such behavior will not be permitted. Everyone should feel welcome to share their feedback, ideas, and thoughts related to the Community or off-campus life in general. You are strictly prohibited from posting to the Community any Content that is defamatory, abusive, profane, threatening, obscene, harassing, offensive, illegal or otherwise objectionable.
CONSIDER THE CONTENT YOU POST
Content posted on the Community is available for others to see and use. Do not post anything to the Community that you would not want the world to see or that you would not want anyone to know came from you. You alone are responsible for the Content you submit to the Community, and you assume all risks associated with the Content you submit, including anyone’s reliance on its quality, accuracy, or reliability, or any disclosure by you of information that makes you personally identifiable.
OCP is not responsible for, and expressly disclaims all liability for, the Content posted or made available on the Community by others. OCP does not guarantee the accuracy, integrity, quality or appropriateness of any Content. You understand that all Content posted on, transmitted through or linked through the Community is the sole responsibility of the person from whom such Content originated. You understand that by using the Community you may be exposed to Content that is inaccurate, misleading or offensive. You agree that you will evaluate and make your own judgment, and bear all risks associated with, the use of any Content.
OCP does not actively monitor the Content or the Community for inappropriate Content and does not, on its own, undertake editorial control of Content. However, in the event that any inappropriate Content is brought to the attention of OCP, appropriate action may be taken, including the removal of such Content. Content made available on the Community may be changed without notice.
By submitting Content to the Community, you automatically grant OCP an irrevocable, perpetual, non-exclusive, royalty-free, fully paid, worldwide, assignable license to use, copy, perform, display, reproduce, adapt, modify and distribute such Content and to prepare derivative works of, or incorporate into other works, such Content and to grant and authorize sublicenses of the Content.
RESPECT OTHERS’ INTELLECTUAL PROPERTY RIGHTS
The Community is a place to share Content and get inspired. With that being said, do not upload Content you do not own or have permission to post. Unless you specify otherwise, other participants in the Community have the right to reproduce Content provided via the Community. To reuse any Content, you must first ask for permission from the user that made such Content available and give proper attribution to such user. You represent and warrant that (a) you own, or have the necessary permissions to use and authorize the use of the Content that you submit, and (b) you will not violate any third party’s rights, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right in connection with your use of the Community.
All content and information on the Community, including, but not limited to, all text, graphics, logos, icons, images, audio clips, downloads, and software (except for the Content submitted by users) is the exclusive property of OCP or its licensors and is protected by United States and international intellectual property laws.

In accordance with the Digital Millennium Copyright Act (“DMCA”), we will promptly respond to claims of copyright infringement that are reported to the agent we have designated to receive notifications of claims of infringement, whose contact information is:

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our agent with written notice of the claimed infringement that includes the following:
a) a physical signature of a person authorized to act on behalf of the owner of the copyright allegedly infringed;
b) a description of the copyrighted work that is claimed to have been infringed;
c) a description of where the allegedly infringing material is located on the Community;
d) your address, telephone number, e-mail address and any other information reasonably sufficient to allow us to contact you;
e) a statement from you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
f) a statement made by you, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf.
NO COMMERCIAL MESSAGES
You may not post commercial messages on the Community. Use discretion when contacting other participants in the Community directly via private message with product and service information. The Community is intended to promote interaction and engagement, and is not to be used as a source for sales-related cold calls or outreach.
NO ENDORSEMENT
OCP does not expressly or implicitly endorse, approve, or certify the accuracy, currency, or reliability of any Content presented on the Community. Any opinions expressed in the Community should not be construed as reflecting the opinions of OCP. Reference to any product, process or service does not constitute or imply endorsement, approval or recommendation by OCP. Likewise, you may not use the Community to promote any product, opinion, cause or political candidate. This Community may not be used to solicit political contributions.
NO HARMFUL CODE, SCREEN SCRAPING
You will not submit any Content that is encrypted or that contains viruses, Trojan horses, worms, time bombs, spiders, cancelbots, or other computer programming routines that are intended to damage, interfere with, disrupt, impair disable or otherwise overburden the Community. You will not access, retrieve, scrape, index, download or copy any information contained on the Community through artificial means, such as spiders, bots, hacking devices or other methods.
THIRD PARTY SITES
The Community may contain links to third party web sites or services that are not owned or controlled by OCP (“Third Party Sites”). We have no control over, and assume no responsibility for the content, privacy policies, or practices of any Third Party Sites. We do not warrant the offerings of any of these third parties, or their websites, products or services, and will have no liability in connection with your use of any Third Party Site. We strongly advise you to read the terms and conditions and privacy policies of any Third Party Sites that you visit.
USER CREDENTIALS AND SECURITY
You will create a user name and password (“User Credentials”) when you register for the Community. In creating your User Credentials, you must provide complete and accurate information about yourself. You may not impersonate someone else, create an account for someone else, provide another’s email or create multiple accounts. You are responsible for maintaining the confidentiality of your User Credentials. You are fully responsible for all activities that occur through the use of your User Credentials. User Credentials may only be used by the user to whom they relate.
You will not attempt to gain unauthorized access to the Community, other user accounts, or other computer systems or networks connected to the Community. Additionally, you will not (and will not assist a third party to) remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Community, features that prevent or restrict the use or copying of Content on the Community, or features that enforce limitations on the use of the Community.
PRIVACY POLICY
Information that we collect from you in connection with the Community will be used in accordance with our Privacy Policy, which is incorporated into these Terms of Use. You hereby acknowledge and agree to the terms of our Privacy Policy.
AVAILABILITY
OCP may modify, update, interrupt, suspend or discontinue the Community at any time without notice and in its sole discretion. The Community may be subject to limitations, delays and other problems inherent in the use of the Internet and electronic communications. OCP is not responsible for any delays, failures or other damage resulting from such problems.
DISCLAIMER
OCP assumes no responsibility for any consequences resulting from the Community or any Content made available via the Community, and expressly disclaims all liability for damages arising out of the Community or any Content, including but not limited to any use, reference to, reliance on or performance of such Content. The Community and Content are made available “AS IS” and OCP hereby disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for any particular purpose in connection with the Community and the Content. You agree to use the Community and the Content at your sole risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCP WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND ARISING FROM THE USE OF THE COMMUNITY OR FROM ANY INFORMATION OR CONTENT MADE AVAILABLE VIA THE COMMUNITY INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.
INDEMNITY
You agree to indemnify and hold harmless OCP, its parent company, subsidiaries, affiliates, employees, officers, agents and assigns from and against any claims, demands, damages, losses, liabilities, judgments, costs or expenses (including attorneys’ fees) arising out of (a) your use of the Community, (b) your violation of these Terms of Use, or (c) any Content you post or otherwise make available via the Community.

GOVERNING LAW
These Terms of Use and the relationship between you and OCP will be governed by the laws of the State of North Carolina, without regard to conflict of law provisions. You agree and consent to the exclusive jurisdiction of the state or federal courts located in Raleigh, North Carolina and waive any defense of lack of personal jurisdiction or improper venue or inconvenient forum.
SEVERABILITY
If any provision contained in these Terms of Use is found to be illegal, invalid or unenforceable, the remaining provisions shall nevertheless continue in full force and effect, and the illegal, invalid or unenforceable provision shall be deemed modified so that they are legal, valid and enforceable to the maximum extent permitted by law.
ENTIRE AGREEMENT
These Terms of Use contain the entire agreement between you and OCP regarding the use of the Community and supersede any prior agreement, whether written or oral, between you and OCP regarding the subject matter contained in these Terms of Use; provided that in the event of a conflict between these Terms of Use and any license agreement between you and OCP, the terms of such license agreement shall govern. The terms and conditions of any agreement between you and OCP will be considered confidential, and you agree not to disclose the terms and conditions of any such agreement to any third party, unless otherwise expressly agreed by OCP in writing.
